Bimergen Energy's Battery Storage Story Has a Paid-Promotion Problem

Bimergen Energy touts a 2.0 GW battery storage pipeline and a path to $400M in revenue — but the company has zero revenue today, is on its seventh reverse stock split, pays for its own investor-relations coverage, and just diluted shareholders 38% in a year.

Bimergen Energy's Battery Storage Story Has a Paid-Promotion Problem

Bimergen Energy (NYSE American: BESS) has a pitch that sounds compelling on the surface: a 2.0 gigawatt battery energy storage pipeline, roughly $250 million in financing commitments, and a public "path to $400 million" in revenue. Dig past the press releases, and the picture looks a lot less like a growth story and a lot more like a familiar micro-cap pattern.

Zero revenue, real spending. Bimergen has no meaningful revenue today — it's a pre-revenue project developer whose entire value proposition rests on projects that haven't been built yet. Meanwhile, its executive suite is anything but lean: an Executive Chairman, a Co-CEO/CFO, and a second Co-CEO/President together draw roughly $3 million a year in compensation at a company with a market cap of around $30 million. That's a striking ratio for a business with no product revenue.

This is not the company's first identity. Bimergen Energy was known as Bitech Technologies Corporation until February 2025, and before its pivot into battery storage, the same corporate entity was involved in Bitech Mining Corp — a cryptocurrency mining venture founded by the same chairman, Benjamin Tran, in 2021. Stock-split records show this ticker has gone through seven reverse stock splits, the most recent a brutal 1-for-140 consolidation completed alongside the February 2025 rebrand. Repeated reverse splits are one of the more reliable warning signs in small-cap investing: they usually mean chronic share dilution has pushed a stock toward fractions of a cent, forcing a cosmetic reset so it doesn't look like a distressed penny stock. This appears to be a company that has cycled through hot themes — crypto mining, then battery storage, now increasingly leaning into "AI power demand" messaging — without a durable operating business emerging from any of them yet.

The investor-relations coverage is paid for. Much of the enthusiastic media you'll find on Bimergen — webinars, video interviews with the Co-CEO, glowing write-ups — comes from RedChip Companies, an investor-awareness firm. Per RedChip's own public disclosure, Bimergen agreed to pay RedChip 8,000 restricted shares plus $8,000 cash for 12 months of promotional coverage starting September 2025. That's not illegal or even unusual for a small-cap — paid IR arrangements are common and the disclosure is public — but it means the flattering coverage circulating about Bimergen isn't independent analysis. It's advertising, and it should be read as such.

Filing delays and fresh dilution. In May 2025, the company disclosed it would be unable to file its 10-Q on time — a compliance red flag regardless of the stated reason. Shares outstanding have grown roughly 38% over the past year, and the company raised $13.6 million in a recent offering that came bundled with five-year warrants struck at $5.00 — a structure that all but guarantees further dilution if the stock performs well, since warrant holders will convert into new shares along the way.

The bottom line. None of this means Bimergen's battery storage projects are fake — utility-scale BESS is a real and growing market, and the company may eventually convert its pipeline into actual signed, revenue-generating contracts. But today, the story is being sold well ahead of the substance: no revenue, a management-pay structure out of proportion to the business, a long history of shareholder dilution, and paid promotional content doing a lot of the talking. That combination is exactly what our "Pure Promote / Pump Risk" label exists to flag.
